ADbag Seller Terms & Conditions

Version 1.0
Effective date: 13 August 2026

These Seller Terms & Conditions (“Terms”) govern participation in the ADbag seller network and the supply and use of ADbags by sellers.

ADbag is operated by RNUUme Ltd trading as ADbag, company number 16246423, whose registered office is:

In these Terms, “ADbag”, “we”, “us” and “our” mean RNUUme Ltd trading as ADbag.

These Terms apply whether you participate through:

  • an ADbag Starter Pack;

  • the ADbag Seller Application;

  • an approved ADbag seller account;

  • a recurring ADbag allocation;

  • or another seller-distribution arrangement agreed with ADbag.

1. What ADbag Is

ADbag is a parcel-media network.

Advertising carried on physical ADbags helps fund mailing bags that eligible sellers can use when sending genuine ecommerce customer orders.

Participating sellers provide physical distribution by using ADbags for genuine parcel shipments they would otherwise have needed to package and send.

Sellers do not pay ADbag for advertising and are not required to personally promote, recommend or endorse the Brands appearing on the bags.

2. Who Can Participate

ADbag is intended for genuine sellers, organisations and businesses regularly sending legitimate customer parcels.

Participants may include:

  • marketplace sellers;

  • sole traders;

  • limited companies;

  • independent ecommerce businesses;

  • online retailers;

  • charities;

  • subscription businesses;

  • booksellers;

  • craft sellers;

  • social-commerce sellers;

  • fulfilment operators;

  • and other organisations approved by ADbag.

Where an individual applies personally, they must be at least 18 years old.

Where an application is submitted on behalf of a company, organisation or other business, the applicant confirms that they are authorised to provide the relevant information and act on its behalf.

ADbag may decline any application that does not meet its eligibility, verification, distribution or operational requirements.

3. Geographic Eligibility

Unless ADbag expressly agrees otherwise, the standard ADbag seller programme is available to eligible sellers dispatching from:

  • England;

  • Scotland; and

  • Wales.

Standard free delivery applies only to eligible mainland UK addresses where this is expressly stated by ADbag.

ADbag may agree different arrangements for:

  • Northern Ireland;

  • islands;

  • remote locations;

  • fulfilment centres;

  • large commercial allocations;

  • or other locations

on a case-by-case basis.

4. Genuine Parcel Shipping

ADbags supplied through the seller programme must be used for genuine parcel shipping.

A genuine parcel shipment is a legitimate parcel sent in connection with an actual:

  • customer order;

  • product purchase;

  • subscription;

  • approved sample shipment;

  • charity transaction;

  • fulfilment instruction;

  • or other genuine commercial or ecommerce activity approved by ADbag.

ADbags must not be used to create artificial distribution activity.

5. Permitted Use

ADbags supplied to a seller are provided for the seller’s own approved parcel-dispatch requirements.

The seller may use them with its normal:

  • ecommerce marketplace;

  • website;

  • courier;

  • postal service;

  • postage label;

  • returns process;

  • and fulfilment workflow,

provided that use complies with these Terms.

Unless specifically agreed otherwise, ADbags supplied through the UK seller programme should be used for parcels being dispatched to recipients within the United Kingdom.

6. Prohibited Use

Sellers must not:

  • resell ADbags;

  • list ADbags for sale on any marketplace, website or social platform;

  • exchange ADbags for money or other commercial consideration;

  • give or commercially redistribute significant quantities to another seller without ADbag’s permission;

  • use ADbags for artificial or fabricated parcel shipments;

  • send empty parcels merely to create Campaign distribution;

  • use false transactions to increase apparent parcel volume;

  • knowingly obtain more bags than are reasonably required;

  • use multiple identities, accounts or addresses to circumvent allocation limits;

  • remove, cover or deliberately deface advertising for the purpose of preventing the Campaign from being seen;

  • remove or deliberately damage ADbag tracking or QR elements;

  • repeatedly or deliberately fold, roll or reduce ADbags in a manner that materially conceals Campaign branding or QR codes;

  • unnecessarily wrap or extensively cover ADbags with adhesive tape in a manner that materially obscures Campaign advertising, QR codes or ADbag branding;

  • overprint ADbags with unrelated commercial advertising without ADbag approval;

  • use ADbags for unlawful activity;

  • use ADbags to facilitate fraud;

  • or otherwise use the bags in a way materially inconsistent with the purpose of the ADbag seller programme.

7. Starter Packs

Where available, an ADbag Starter Pack currently contains:

100 ADbags in one available size.

Unless ADbag states otherwise:

  • the bags are supplied without charge;

  • standard delivery to one eligible mainland UK address is included;

  • only one Starter Pack may be requested per seller, business, household or delivery address;

  • Starter Packs are subject to stock and Campaign availability;

  • requesting a Starter Pack does not guarantee allocation;

  • and there is no obligation to request further ADbags.

ADbag may refuse duplicate, suspicious, incomplete or ineligible Starter Pack requests.

8. Starter Pack Size Selection

A Starter Pack normally contains one bag size only.

The seller is responsible for selecting the most appropriate available size for its normal parcels.

Once a Starter Pack has entered processing or fulfilment, the selected size cannot normally be changed.

ADbag does not guarantee that every bag size will be available in every Campaign cycle.

9. Seller Membership and Larger Allocations

Sellers requiring more than the standard Starter Pack allocation may apply to join the approved ADbag seller network.

Approval may allow the seller to request larger or recurring quantities based upon:

  • evidenced parcel volume;

  • bag-size requirements;

  • historic usage;

  • expected future demand;

  • available Campaign inventory;

  • print-run capacity;

  • and other operational considerations.

Approval as an ADbag seller does not create an automatic entitlement to any particular quantity of bags.

10. Verification

ADbag may verify information supplied by a seller before approving or increasing an allocation.

Verification may include reasonable evidence of:

  • genuine selling activity;

  • marketplace activity;

  • ecommerce activity;

  • historic parcel volume;

  • recent transaction volume;

  • business status;

  • seller identity;

  • dispatch requirements;

  • or previous ADbag usage.

ADbag may decline, reduce, suspend or postpone an allocation where evidence is insufficient or inconsistent.

11. Sales and Parcel-Volume Evidence

Where ADbag requests proof of seller activity, the seller must provide evidence in the format reasonably specified by ADbag.

ADbag normally requires evidence of transaction or parcel volume rather than financial value.

Sellers should not provide unnecessary customer or financial information.

Unless ADbag specifically instructs otherwise, evidence should be appropriately redacted so that information such as the following is not supplied:

  • buyer names;

  • buyer email addresses;

  • full buyer postal addresses;

  • account balances;

  • sales revenue;

  • payment information;

  • marketplace fees;

  • or other unnecessary financial information.

Raw marketplace CSV files or exports containing customer personal information should not be supplied unless ADbag has expressly requested them and provided an appropriate secure process.

ADbag may issue separate seller evidence guides explaining acceptable verification methods.

12. Accuracy of Seller Information

The seller confirms that information supplied to ADbag is accurate to the best of their knowledge.

The seller must not deliberately:

  • exaggerate monthly parcel volume;

  • create false evidence;

  • falsify marketplace activity;

  • misrepresent business status;

  • use another seller’s sales information;

  • or otherwise obtain an allocation through misleading information.

The seller should notify ADbag where a material change occurs that significantly affects expected usage.

13. Allocation of ADbags

ADbag controls the allocation of available seller inventory.

Allocations may be based on:

  • verified seller demand;

  • actual previous usage;

  • bag-size demand;

  • stock availability;

  • Campaign requirements;

  • seller location;

  • distribution planning;

  • seller reliability;

  • fulfilment capacity;

  • and available print-run volume.

ADbag may allocate fewer bags than a seller requests.

An allocation is not guaranteed until ADbag confirms it.

14. Print Runs and Availability

ADbags are produced through scheduled Campaign print runs.

Available quantities therefore depend upon matters including:

  • advertiser-funded Campaign demand;

  • manufacturing;

  • print capacity;

  • Campaign timing;

  • bag-size production;

  • existing seller allocations;

  • logistics;

  • and operational capacity.

Where a print cycle reaches capacity, a seller request may be:

  • reduced;

  • placed on a waiting list;

  • postponed;

  • or moved to a later available print run.

Submitting an order or application does not guarantee supply in a particular print cycle.

15. Repeat Allocations

Approved sellers may be invited or permitted to request repeat ADbag allocations.

Repeat allocation is subject to continuing eligibility and available inventory.

ADbag may consider:

  • previous quantity supplied;

  • evidence of genuine use;

  • estimated stock remaining;

  • actual parcel volume;

  • time since the previous allocation;

  • requested bag sizes;

  • and future Campaign capacity.

ADbag may contact a seller before a repeat allocation is dispatched to confirm that the seller:

  • still requires the bags;

  • remains active;

  • has used a reasonable proportion of its previous allocation;

  • and continues to meet seller-network requirements.

16. No Guarantee of Continuous Free Supply

ADbag’s objective is to provide eligible sellers with advertiser-funded mailing bags wherever commercially and operationally possible.

However, participation in the programme does not guarantee:

  • permanent membership;

  • an unlimited quantity of bags;

  • a particular allocation;

  • continuous stock;

  • supply in every print run;

  • a particular bag size;

  • a specific Campaign design;

  • or free supply indefinitely.

ADbag may change, suspend, restrict or discontinue seller allocations or the seller programme where reasonably necessary.

17. Advertising on ADbags

ADbags contain advertising selected and managed by ADbag.

The advertiser mix may change between print runs.

A seller cannot normally select which Brands appear on the bags they receive.

Receipt or use of an ADbag carrying an advertisement does not mean that the seller:

  • endorses the Advertiser;

  • recommends the Advertiser;

  • has a commercial relationship with the Advertiser;

  • or is required to promote the Advertiser personally.

Sellers must not represent themselves as authorised representatives, partners or endorsers of an Advertiser unless separately authorised to do so.

18. Postage Labels and Advertising Areas

ADbags are designed with areas intended to preserve both parcel functionality and Campaign visibility.

Sellers should, wherever reasonably possible, place courier or postage labels in the designated label area.

Sellers must not deliberately place labels, stickers or other material over advertiser Campaign areas or QR codes for the purpose of obscuring them.

ADbag recognises that individual courier requirements, additional carrier labels or operational circumstances may occasionally affect label positioning.

Accidental or operationally necessary partial coverage will not by itself constitute misuse.

19. Bag Sizing, Folding and External Taping

ADbags carry Campaign branding, advertising and QR codes on both sides of the mailing bag.

Sellers must pack parcels in a way that preserves the reasonable visibility and integrity of those Campaign areas.

The seller must select an ADbag that is reasonably appropriate to the size and shape of the item being dispatched.

ADbags must not be excessively folded, rolled, doubled back or otherwise reduced in size beyond their normal intended closure or fold point where doing so would:

  • conceal or materially obscure Advertiser branding;

  • conceal or materially obscure an ADbag QR code;

  • significantly reduce the visible advertising area;

  • distort Campaign artwork;

  • or otherwise materially defeat the advertising purpose of the ADbag.

Where the ADbags available to the seller are too large for a particular item to be packed without excessive folding or substantial concealment of Campaign artwork, the seller should not use an ADbag for that parcel.

In those circumstances, the seller should use another suitable packaging format and retain the ADbag for a future parcel for which that bag size is appropriate.

Sellers must not attempt to make an oversized ADbag suitable for a smaller item by repeatedly folding, rolling or wrapping the bag in a way that materially hides Campaign branding.

ADbags are manufactured as finished mailing bags and are intended to be securely closed using their designed closure system.

Sellers must not wrap additional adhesive tape around the outside of an ADbag, or extensively tape across its external surface, where doing so would:

  • cover advertising;

  • obscure a QR code;

  • conceal ADbag branding;

  • materially interfere with Campaign artwork;

  • or unnecessarily alter the intended appearance of the bag.

If a parcel cannot be packed and securely dispatched using the ADbag’s normal closure system without extensive external taping, the seller should use an alternative suitable packaging format for that shipment.

Normal application of:

  • postage labels;

  • courier labels;

  • legally required labels;

  • or other operational labels permitted under these Terms

remains allowed, provided they are positioned appropriately and do not deliberately obscure Campaign areas.

For the avoidance of doubt, ADbag would prefer that a seller does not use an ADbag for a particular parcel rather than use an unsuitable size or pack the parcel in a way that substantially hides or damages the advertising for which the bag was produced.

20. Alteration of ADbags

Sellers must not materially alter the external advertising design of an ADbag before using it.

In particular, sellers should not deliberately:

  • remove Advertiser branding;

  • remove the ADbag identity;

  • remove QR codes;

  • cover advertising with unrelated promotional stickers;

  • cut out advertising areas;

  • or otherwise modify the bag so that its intended Campaign function is materially defeated.

Normal parcel preparation, sealing, labelling and handling are permitted.

21. Seller’s Own Branding

Unless ADbag expressly agrees otherwise, sellers must not add substantial external advertising or commercial sponsorship to ADbags.

Ordinary operational information is permitted, including:

  • courier labels;

  • return labels;

  • handling labels;

  • legally required information;

  • or reasonable seller-identification information necessary for fulfilment.

Any proposed co-branding or significant seller advertising should be agreed with ADbag beforehand.

22. Packaging Suitability

The seller remains responsible for deciding whether a particular ADbag is suitable for the item being dispatched.

The seller is responsible for:

  • selecting an appropriate bag size;

  • packing goods appropriately;

  • protecting fragile or vulnerable contents;

  • complying with carrier packaging requirements;

  • complying with restrictions applying to the contents;

  • applying sufficient postage;

  • and ensuring the parcel is correctly addressed.

ADbag is not the seller’s courier or postal provider.

23. Damaged or Defective Bags

Sellers should not knowingly use a bag that is materially damaged or unsuitable for safe parcel dispatch.

If a material quantity of ADbags is received damaged or defective, the seller should notify ADbag as soon as reasonably practicable and, where possible, provide photographs showing the issue.

ADbag may:

  • investigate;

  • replace affected bags where stock permits;

  • adjust a future allocation;

  • or take another reasonable remedial action.

The appropriate response will depend upon the nature and scale of the issue.

24. Delivery

ADbag will use reasonable efforts to dispatch confirmed seller allocations within the expected period communicated to the seller.

Delivery estimates are not guarantees.

Delivery may be affected by:

  • print-run timing;

  • Campaign delays;

  • manufacturing;

  • stock availability;

  • couriers;

  • severe weather;

  • operational disruption;

  • incorrect delivery information;

  • or circumstances outside ADbag’s reasonable control.

The seller must provide a complete and accurate delivery address.

25. Failed or Returned Deliveries

Where delivery fails because the seller supplied incorrect or incomplete information, failed to collect a parcel or otherwise caused the shipment to be returned, ADbag may:

  • cancel the allocation;

  • postpone redelivery;

  • reduce a future allocation;

  • or require reasonable delivery costs to be resolved before redelivery.

ADbag will consider genuine carrier errors separately.

26. Surplus and Unused ADbags

Sellers should request quantities they reasonably expect to use.

If a seller has a significant surplus of unused ADbags, they should contact ADbag rather than:

  • selling them;

  • disposing of large quantities unnecessarily;

  • or transferring them to another seller.

ADbag may agree that surplus stock can:

  • remain with the seller for future genuine orders;

  • be transferred to another approved seller;

  • be returned to ADbag;

  • or be dealt with in another agreed way.

Where ADbag specifically requires unused stock to be returned for reasons not caused by seller misconduct, ADbag will normally arrange or agree the return method.

27. Leaving the ADbag Network

A seller is not obliged to continue requesting ADbags.

A seller may stop participating at any time by:

  • ceasing to request further allocations; or

  • asking ADbag to close its seller account.

Unused bags already supplied remain subject to the no-resale and permitted-use provisions in these Terms unless ADbag agrees another arrangement.

28. Monitoring and Usage Confirmation

ADbag may contact participating sellers to understand how allocated bags are being used.

ADbag may reasonably ask for information such as:

  • approximate number of bags used;

  • remaining stock;

  • preferred sizes;

  • expected future parcel volume;

  • marketplace or sales channels;

  • whether bags are still required;

  • and seller feedback.

This information helps ADbag plan production and distribute advertiser-funded inventory responsibly.

Sellers must not provide customer personal data merely to answer these questions.

29. Distribution and Campaign Evidence

ADbag may use aggregated seller-network information to understand and report how Campaign inventory is distributed.

This may include aggregated information concerning:

  • number of participating sellers;

  • quantities allocated;

  • bag sizes;

  • broad distribution geography;

  • Campaign cycle;

  • and estimated or confirmed bag usage.

ADbag will not ordinarily provide Advertisers with individual parcel-recipient personal information as part of the standard Campaign service.

30. Personal Data and Privacy

ADbag processes seller personal information in accordance with applicable data-protection law and the ADbag Privacy Policy.

Information may be used for legitimate purposes associated with operating the seller network, including:

  • processing applications;

  • verifying eligibility;

  • managing accounts;

  • planning allocations;

  • arranging delivery;

  • communicating about stock;

  • preventing misuse or fraud;

  • improving seller operations;

  • managing Campaign distribution;

  • and maintaining appropriate business records.

ADbag will seek to collect only information reasonably necessary for those purposes.

31. Account Security

Where a seller account or password is provided, the seller is responsible for keeping its login details secure.

The seller should:

  • use a secure password;

  • not intentionally share account access with unauthorised persons;

  • notify ADbag if account security may have been compromised;

  • and ensure account information remains reasonably current.

ADbag may suspend access where it reasonably believes an account has been compromised or misused.

32. Misuse, Fraud and Suspension

ADbag may suspend, restrict or terminate a seller’s participation where there are reasonable grounds to believe that the seller has:

  • resold ADbags;

  • deliberately provided false information;

  • fabricated parcel activity;

  • circumvented allocation limits;

  • materially misused free inventory;

  • deliberately concealed or damaged Campaign advertising;

  • repeatedly used unsuitable bag sizes in a way that materially hides Campaign branding;

  • repeatedly or unnecessarily covered Campaign areas or QR codes with tape or other materials;

  • used ADbags for unlawful purposes;

  • repeatedly failed verification;

  • abused ADbag staff or systems;

  • or materially breached these Terms.

Where appropriate and reasonably possible, ADbag may give the seller an opportunity to explain or correct the issue before permanent removal.

Immediate suspension may be used where ADbag reasonably believes fraud, security risk, unlawful activity or significant abuse is occurring.

33. Allocation Following Misuse

Where misuse is identified, ADbag may:

  • cancel an unfulfilled allocation;

  • refuse future allocations;

  • reduce future allocations;

  • close the seller account;

  • request return of materially unused stock;

  • or take other proportionate action reasonably necessary to protect the seller network and advertiser-funded inventory.

ADbag does not intend to penalise genuine sellers for innocent errors.

34. Sellers Are Independent

Participation in the ADbag network does not create:

  • employment;

  • partnership;

  • agency;

  • franchise;

  • joint venture;

  • or other representative relationship

between ADbag and the seller.

The seller remains responsible for its own business, marketplace activity, customers, taxes, sales and legal obligations.

The seller has no authority to enter into agreements or make commitments on behalf of ADbag.

35. Relationship with Advertisers

Advertisers appearing on ADbags are not responsible for the seller’s goods or fulfilment activities.

The seller has no direct contractual relationship with an Advertiser merely because its advertising appears on an ADbag.

Similarly, the seller is not responsible for delivering an Advertiser’s product or service.

Questions concerning an advertisement should be directed to ADbag or the relevant Advertiser as appropriate.

36. Seller Goods and Customer Transactions

ADbag is not a party to transactions between the seller and its customers.

ADbag is not responsible for:

  • goods sold by the seller;

  • product descriptions;

  • seller refunds;

  • marketplace disputes;

  • customer complaints;

  • lost customer parcels;

  • seller postage;

  • carrier disputes;

  • seller taxes;

  • or other obligations arising from the seller’s own trading activity.

37. Availability of the Seller Programme

The ADbag seller programme depends upon the continuing operation and commercial viability of the ADbag parcel-media network.

ADbag may amend:

  • eligibility requirements;

  • Starter Pack quantities;

  • allocation procedures;

  • verification requirements;

  • available bag sizes;

  • delivery arrangements;

  • reorder procedures;

  • seller-programme features;

  • and future print-run availability.

Where a material change affects an existing confirmed allocation, ADbag will use reasonable efforts to communicate it to the affected seller.

38. Changes to These Terms

ADbag may update these Seller Terms & Conditions from time to time.

The current version will be published on the ADbag website.

Material changes affecting existing seller participation will take effect from the date stated in the updated Terms or from another date communicated by ADbag.

A later version will not retrospectively change rights or obligations that have already arisen where doing so would be unlawful or unfair.

39. Consumer Rights

Some ADbag sellers may participate as individuals rather than in the course of a business.

Nothing in these Terms excludes or restricts any statutory rights that cannot lawfully be excluded or restricted.

Where consumer law applies to a seller, these Terms must be interpreted consistently with those mandatory rights.

40. ADbag Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for:

  • death or personal injury caused by negligence;

  • fraud;

  • or fraudulent misrepresentation.

ADbag does not accept responsibility for loss resulting from:

  • a seller selecting an unsuitable bag size;

  • inadequate packing by the seller;

  • incorrect postage;

  • incorrect addressing;

  • prohibited parcel contents;

  • carrier failure;

  • marketplace action;

  • or another matter outside ADbag’s reasonable control.

Where the seller is acting wholly or mainly for business purposes, ADbag will not be liable for indirect or consequential business loss, loss of profit, loss of sales or loss of business opportunity except where such exclusion is prohibited by law.

Nothing in this clause affects any mandatory rights available to a seller acting as a consumer.

41. Events Outside ADbag’s Reasonable Control

ADbag will not be responsible for delay or failure caused by circumstances outside its reasonable control.

These may include:

  • manufacturing interruption;

  • material shortages;

  • transport disruption;

  • postal or courier failure;

  • industrial action;

  • severe weather;

  • fire;

  • flood;

  • infrastructure failure;

  • widespread technology failure;

  • government action;

  • or comparable events.

ADbag will use reasonable efforts to resume normal service when reasonably practicable.

42. Complaints and Questions

ADbag wants genuine sellers to be able to raise problems quickly.

Questions, complaints or concerns concerning:

  • an allocation;

  • a delivery;

  • bag quality;

  • seller verification;

  • account suspension;

  • or these Terms

should be sent to:

ADbag will seek to investigate genuine complaints reasonably and proportionately.

43. Third-Party Rights

Unless expressly stated otherwise, these Terms do not give any person who is not ADbag or the participating seller a right to enforce them.

44. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary or removed where modification is not possible.

The remaining provisions will continue to apply.

45. Waiver

If ADbag does not immediately enforce a right under these Terms, this does not mean that ADbag has waived that right.

A waiver on one occasion does not constitute a waiver on another occasion.

46. Governing Law

These Terms are governed by the laws of England and Wales, subject to any mandatory protections that apply to an individual seller under applicable consumer law.

Where the seller participates wholly or mainly for business purposes, the courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms.

Nothing in this clause removes any mandatory right available to a consumer to bring proceedings in another part of the United Kingdom where applicable law permits this.
